For this purpose, we will provide your name and mailing address to the magazine subscription fulfillment company. You may choose to simultaneously opt out of the subscriptions during the checkout process.

JOB APPLICANTS

If you apply for a position with ElectroStub and submit your personal information through our Website, the information you submit will be used only in connection with considering and acting upon your application. We may retain your personal information for a period of time, but only for the purpose of considering your application for current or future available positions.

If you apply for a position with ElectroStub and are directed to a third-party site (for example, a third-party site specializing in job postings, such as Monster.com). Moreover, any conduct by a user that in our sole discretion restricts or inhibits any other user from using or enjoying the Website will not be permitted.

By submitting User Content to us, simultaneously with such submission you automatically grant, or warrant that the owner has expressly granted, to us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully sublicensable, and transferable right and license to use, reproduce, distribute, create derivative works based upon (including, without limitation, translations), publicly display, publicly perform, transmit, and publish the User Content (in whole or in part) as we, in our sole discretion, deem appropriate including, without limitation, (1) in connection with our business; and (2) in connection with the businesses of our strategic partners as well as the owners of hotels, casinos, residences, restaurants, and nightlife destinations (?Venues?) and their respective parents, subsidiaries, affiliates and other related companies that we manage but do not own, the owners and operators of licensed Venues, and the owners and operators of certain residential properties associated with or located in proximity to various Venues (as well as the respective parents, subsidiaries, affiliates, related companies, and designees of any of the foregoing) (collectively, ?Property Partners?). We may exercise this grant in any format, media or technology now known or later developed for the full term of any copyright or other intellectual property right that may exist in such User Content. Furthermore, you also grant other users permission to access your User Content and to use, reproduce, distribute, create derivative works based upon, publicly display, publicly perform, transmit, and publish your User Content for personal, non-commercial use as permitted by the functionality of the Website and these Terms of Use.

By submitting User Content, you also grant us the right, but not the obligation to use your biographical information including, without limitation, your name and geographical location in connection with broadcast, print, online, or other use or publication of your User Content. You waive any and all claims you may now or later have in any jurisdiction to so-called ?moral rights? or rights of ?droit moral? with respect to the User Content.

The provisions of these Terms of Use which by their nature should survive the suspension or termination of your Account or these Terms of Use shall survive including, but not limited to the rights and licenses that you have granted hereunder, indemnities, releases, disclaimers, limitations on liability, provisions related to choice of law, dispute resolution, no class action, no trial by jury and all of the miscellaneous provisions set forth below.

O.        ARBITRATION AND DISPUTE RESOLUTION AGREEMENT

PLEASE READ THIS FOLLOWING CLAUSE CAREFULLY ? IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

  1. Initial Dispute Resolution.  We are available by email at [email protected] to address any concerns you may have regarding your use of the Website.  Most concerns may be quickly resolved in this manner.  We and you (each a ?party? and together, the ?parties?) shall use best efforts to settle any dispute, claim, question or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.
  2. Agreement to Binding Arbitration.  If the parties do not reach an agreed upon solution within a period of thirty (30) days from the time informal dispute resolution is pursued pursuant to Section O(1) above, then either party may initiate binding arbitration.  All claims arising out of or relating to this agreement (including its formation, performance and breach), the parties? relationship with each other and/or you use of the Website shall be finally settled by binding arbitration administered by the American Arbitration Association on a confidential basis in accordance with the provisions of its Commercial Arbitration Rules and the supplementary procedures for consumer related disputes of the American Arbitration Association (the ?AAA?), excluding any rules or procedures governing or permitting class actions.  The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of this agreement, including but not limited to any claim that all or any part of this agreement is void or voidable.  The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity.  The arbitrator?s award shall be binding on the parties and may be entered as a judgment in any court of competent jurisdiction.  The interpretation and enforcement of this agreement shall be governed by the Federal Arbitration Act.

THE AAA?S RULES GOVERNING THE ARBITRATION MAY BE ACCESSED AT WWW.ADR.ORG OR BY CALLING THE AAA AT 1.800.778.7879.  TO THE EXTENT THE FILING FEE FOR THE ARBITRATION EXCEEDS THE COST OF FILING A LAWSUIT, WE WILL PAY THE ADDITIONAL COST.  A REQUEST FOR PAYMENT OF FEES SHOULD BE SUBMITTED TO AAA ALONG WITH YOUR FORM FOR INITIATING THE ARBITRATION, AND WE WILL MAKE ARRANGEMENTS TO PAY ALL NECESSARY FEES DIRECTLY TO THE AAA.  IF THE ARBITRATOR FINDS THE ARBITRATION TO BE NON-FRIVOLOUS, WE WILL PAY ALL OF THE ACTUAL FILING AND ARBITRATOR FEES FOR THE ARBITRATION, PROVIDED YOUR CLAIM DOES NOT EXCEED $75,000.  THE ARBITRATION RULES ALSO PERMIT YOU TO RECOVER ATTORNEYS? FEES IN CERTAIN CIRCUMSTANCES.

THE PARTIES UNDERSTAND THAT, ABSENT THIS MANDATORY PROVISION, THEY WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.  THEY FURTHER UNDERSTAND THAT, IN SOME INSTANCES, THE COSTS OF ARBITRATION COULD EXCEED THE COSTS OF LITIGATION AND THE RIGHT TO DISCOVERY MAY BE MORE LIMITED IN ARBITRATION THAT IN COURT.

  1. Class Action and Class Arbitration Waiver.  The parties further agree that any arbitration shall be conducted in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis.  If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above in section O(2) shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
  2. Exceptions ? Intellectual Property Claims.  Notwithstanding the parties? agreement to resolve all disputes through arbitration, either party may seek relief under law or in equity (including without limitation preliminary or other injunctive relief) in any court of competent jurisdiction for disputes or claims arising out of the alleged infringement of either party?s intellectual property rights.
  3. Exceptions ? Small Claims Court Claims.  Notwithstanding the parties? agreement to resolve all disputes through arbitration, either party may seek relief in small claims court for disputes or claims within the scope of that court?s jurisdiction.
  4. 30 Day Opt Out.  You have the right to opt-out and not be bound by the arbitration and class action waiver provisions set forth in sections O(2), O(3), O(4) and O(5) by sending written notice of your decision to opt-out to the following address: SBEEG Holdings, LLC, 5900 Wilshire Blvd. #3100, Los Angeles, CA 90036, Attn: General Counsel.  The notice must be sent within thirty (30) days of registering to use the Website, otherwise you shall be bound to arbitrate disputes in accordance with the terms of those sections.  If you opt-out of these arbitration provisions, we also will not be bound by them.
  5. Exclusive Venue for Litigation.  To the extent that the arbitration provisions set forth in section O(2) do not apply, the parties agree that any litigation between them shall be filed exclusively in state or federal courts located in State of California, County of Los Angeles (except for small claims court actions which may be brought in the county where you reside, provided that we are subject to jurisdiction there).  The parties expressly consent to exclusive jurisdiction in the State of California, County of Los Angeles for any litigation other than small claims court actions.  The parties also expressly agree that, to the extent that the arbitration provisions set forth in section O(2) do not apply, these Terms of Use shall be construed in accordance with the laws of the State of California without regard to its conflict of laws rules that would result in the application of the laws of a jurisdiction other than the State of California.

P.  AMENDMENT; ADDITIONAL TERMS
